1. Introduction and Agreement to Terms
Welcome to the Ravine Group Insurance Services website. By accessing or using our website, forms, tools, or any related online or offline services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”), together with any policies referenced in them, including our Privacy Policy and, if applicable, any separate Artificial Intelligence or Cookie policies we may publish from time to time.
After the first reference, Ravine Group Insurance Services will be referred to as “RGIS,” “we,” “us,” or “our.” The terms “you,” “user,” or “customer” mean any individual or entity accessing or using the Services, and any business or organization on whose behalf such individual is acting.
THESE TERMS CONTAIN IMPORTANT PROVISIONS, INCLUDING DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, AND AN AGREEMENT TO ARBITRATE CERTAIN DISPUTES ON AN INDIVIDUAL BASIS. BY USING THE SERVICES, YOU ACCEPT THESE TERMS.
If you do not agree to these Terms, do not use the Services.
2. Changes to These Terms
RGIS may update or modify these Terms from time to time. When we make material changes, we will post the updated Terms on our website with a revised “Last Updated” date. Your continued use of the Services after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to changes, you must stop using the Services.
We may also modify, suspend, or discontinue all or part of the Services at any time, with or without notice, as permitted by law.
3. Relationship to Privacy Policy and Other Policies
By using the Services, you acknowledge that you have read and understand our Privacy Policy, which is incorporated into these Terms by reference. Your use of the Services is also subject to any other policies referenced on our site (such as a Cookie Policy or AI-related policy). By agreeing to these Terms, you agree to be bound by those policies as well.
4. Eligibility, Capacity, and Authority
By using the Services, you represent and warrant that:
You are at least 18 years of age;
You have the legal capacity to enter into a binding contract; and
If you are using the Services on behalf of a business or other entity, you are authorized to bind that entity to these Terms.
If you do not meet these requirements, you are not permitted to use the Services.
5. Territorial Scope and Availability of Products
RGIS is licensed to sell and service insurance only in the State of Florida. Insurance products and services described on the website:
May not be available in all jurisdictions;
May be subject to eligibility criteria and underwriting guidelines; and
May be subject to minimum coverage limits required by applicable law.
For individuals outside Florida, RGIS may collect your information for referral or lead purposes and may share that information with licensed partner agencies, but RGIS does not directly sell or service coverage outside Florida.
Any descriptions of coverage, products, or services on the website are for general informational purposes only. Your actual coverage, if any, is governed solely by the terms, conditions, exclusions, and endorsements of the insurance policy issued to you by the applicable carrier.
6. Data Collection and Use
You agree that RGIS may collect, use, and share information about you in accordance with our Privacy Policy, whether or not RGIS is ultimately able to provide you with insurance coverage.
If you voluntarily provide information about yourself, your business, or third parties (such as employees or partners), you represent that you have the authority to provide that information and consent to RGIS using it for purposes including:
Providing or evaluating quotes;
Underwriting and eligibility assessments (where applicable);
Lead generation and referrals;
Analytics, marketing, and service improvement; and
Compliance, fraud prevention, and security.
7. Accounts, Login, and Security
Certain features of the Services may require or result in the creation of a user account. Your email address may serve as your username, and verification may be completed via one-time passcodes, email links, or similar methods.
You agree that:
You are responsible for all activities that occur under your account;
You will maintain the confidentiality and security of your login credentials;
You will notify RGIS promptly if you suspect any unauthorized access or use; and
You will ensure that your contact information remains accurate and up to date.
RGIS may refuse, suspend, or cancel registration or access to the Services at its sole discretion, as permitted by law.
8. Electronic Delivery of Documents and Communications
By using the Services, you consent to receive insurance-related documents and communications in electronic form, to the extent permitted by law. These may include:
Quotes and proposals;
Policy documents;
ID cards or proof-of-insurance documents;
Billing notices and payment confirmations;
Regulatory or legal notices; and
Other service-related communications.
We will typically send such information to the email address you provide or make it available through a secure online portal. If you need a paper copy where permitted by law, you may request one by contacting RGIS at the support contact listed at the end of these Terms.
You are responsible for maintaining appropriate hardware, software, and internet connectivity to access documents electronically.
9. Permitted Use of the Services
The Services, including content, tools, and data generated by or through the Services, are provided for lawful, business-related use in connection with insurance or risk-management inquiries. Subject to these Terms, RGIS grants you a limited, revocable, non-transferable, non-exclusive right to access and use the Services for their intended purpose.
You agree not to:
Copy, distribute, resell, or license the Services or their underlying data, except as expressly allowed;
Use the Services for purposes that violate applicable laws, regulations, or industry codes;
Use automated tools (such as robots, spiders, bots, scrapers, or crawlers) to access or collect data from the Services, except by public search engines for indexing; or
Use the Services in any manner inconsistent with these Terms.
RGIS may interrupt or suspend your access due to maintenance, upgrades, malfunction, third-party interference, or other reasons, and may discontinue or modify the Services at any time.
10. Prohibited Activities
You are responsible for all information and content you transmit through or in connection with the Services (including via web forms, email, chat, SMS, or reviews). You agree that you will not engage in any of the following:
Illegal or tortious conduct, including fraud, misrepresentation, harassment, infringement of intellectual property, defamation, or promotion of illegal activities or hate;
Impersonation, including pretending to be another person or entity, or misrepresenting your affiliation;
Unauthorized data collection or access, including scraping, probing, or testing the vulnerability of any RGIS system or network;
Security circumvention, such as bypassing, disabling, or interfering with security-related features;
Interference or disruption, including introducing viruses, overloading, flooding, spamming, or interfering with other users’ access to the Services;
Collection of others’ personal information without their consent; or
Encouraging or enabling any other person to engage in any of the prohibited activities above.
11. Monitoring and Enforcement
RGIS reserves the right, but does not assume the obligation, to monitor use of the Services for compliance with these Terms and applicable law. RGIS may:
Investigate violations or suspected violations;
Remove or restrict access to content;
Suspend or terminate accounts or access; or
Take appropriate legal action where warranted.
We reserve these rights in order to protect our business, customers, and the integrity of the Services.
12. Termination or Suspension of Access
RGIS may restrict, suspend, or terminate your access to some or all of the Services at any time, with or without notice, if:
You violate these Terms or any applicable law;
We suspect fraudulent or abusive behavior;
Required by law, regulation, or a third-party obligation; or
We discontinue or materially change the Services.
Termination of access does not relieve you of obligations incurred before termination (for example, payment obligations).
13. Ownership of Content and Intellectual Property
All content and materials on or through the Services—including text, graphics, logos, icons, images, videos, software, and page layout (collectively, “Content”)—are owned by or licensed to RGIS and are protected by intellectual property laws.
You agree that:
You receive no ownership rights in the Content or software;
You may use the Content only for lawful, internal purposes related to your use of the Services;
You will not modify, copy, distribute, publish, or create derivative works from the Content without prior written permission; and
You will not use RGIS trademarks, logos, or trade dress without our express written consent.
Any ideas, feedback, or suggestions you submit to RGIS may be used by RGIS without obligation to compensate you, except as required by law.
14. Ownership of Information You Submit
Except as described in our Privacy Policy for personal information, any non-personal information, suggestions, or materials you submit through the Services may be used by RGIS for any lawful business purpose, including improvement of services, marketing, research, and development. You agree not to provide information or materials that are unlawful, defamatory, threatening, or infringing on the rights of others.
15. Availability of Products, No Advice, and No Guarantees
The Services may describe insurance products, coverages, or services offered by RGIS or third-party carriers. These descriptions are general and do not form part of any insurance contract. Actual coverage is governed only by the specific insurance policy and endorsements issued by the carrier.
You understand and agree that:
Not all products or services are available in all areas or to all customers;
Coverage is subject to underwriting approval and may be declined;
Any recommendations or suggestions are based on limited information you provide and may not reflect all coverages that could be appropriate; and
RGIS does not provide legal, tax, or financial advice.
You should consult your own attorney, accountant, or other professional advisors regarding your specific situation.
16. Representations You Make to RGIS
By using the Services, you represent and warrant that:
All information you provide is truthful, accurate, and complete to the best of your knowledge;
You have authority to provide information about any business or third parties you include;
If you provide employee or driver information for underwriting purposes, you have obtained any consents required by law; and
You will promptly notify RGIS of material changes or corrections to information supplied in connection with quotes, policies, or applications.
If these representations are not true for you, you are not authorized to use the Services for those purposes.
17. Fees, Payments, and Recurring Billing (If Applicable)
If RGIS or a related entity offers insurance or services through the site that require payment, the following may apply:
You agree to pay all charges, fees, and taxes associated with your selected products or services, as disclosed at the time of purchase.
Charges may include policy premiums, service fees, installment fees, or transaction fees, where permitted by law.
By submitting a payment method (such as a credit card, debit card, or bank account), you represent that you are authorized to use that method and authorize RGIS or its payment processors to charge it for agreed amounts.
If recurring or automatic billing is offered and you enroll:
You authorize RGIS (or its designee) to debit your payment method for recurring amounts on a scheduled basis;
You understand that amounts may vary (for example, due to changes in coverage, fees, or taxes);
You are responsible for keeping your payment method current; and
You may cancel automatic payments by contacting RGIS within a reasonable time before the next scheduled charge, subject to policy terms and any applicable law.
Failure to pay on time may result in policy cancellation or non-renewal, where permitted by law and policy terms.
18. SMS Communications and Electronic Notices
RGIS may offer SMS/text-based communications for reminders, alerts, or service messages. By providing your mobile number and opting in where required, you consent to receiving such messages, which may be sent via automated systems. Message and data rates may apply, and message frequency may vary.
You can typically opt out of SMS communications at any time by replying “STOP” or following instructions provided in the messages. Opting out of SMS may not stop legally required or strictly transactional notices delivered by other means.
We may also send notices or communications electronically via email or website posting. You agree that such electronic communications satisfy legal notice requirements to the extent permitted by law.
19. Third-Party Websites and Services
The Services may contain links to third-party websites or may reference third-party products or services. These are provided as a convenience only. RGIS does not control, endorse, or assume responsibility for third-party sites, products, or services.
If you choose to access third-party sites or engage third-party providers, you do so at your own risk, and you are responsible for reviewing their terms and privacy policies.
20. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RGIS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR CURRENCY OF CONTENT;
WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; AND
WARRANTIES REGARDING ANY PRODUCTS OR SERVICES PROVIDED BY THIRD PARTIES THROUGH OR IN CONNECTION WITH THE SERVICES.
You are solely responsible for verifying information before relying on it and for determining whether any product, service, or coverage meets your needs.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RGIS AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS) ARISING OUT OF OR IN CONNECTION WITH:
YOUR USE OR INABILITY TO USE THE SERVICES;
ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES;
ANY PRODUCTS OR SERVICES OBTAINED THROUGH THIRD PARTIES; OR
ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR INFORMATION.
IN NO EVENT SHALL RGIS’S TOTAL AGGREGATE LIABILITY TO YOU FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RGIS SPECIFICALLY FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER, TO THE EXTENT PERMITTED BY LAW.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
22. Indemnification
You agree to indemnify, defend, and hold harmless RGIS and its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Your use of the Services;
Your violation of these Terms;
Your infringement or alleged infringement of any intellectual property or other rights of any third party; or
Any information or content you provide through the Services.
23. Governing Law and Jurisdiction
To the extent not preempted by federal law, these Terms and any disputes arising out of or related to the Services shall be governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Subject to the Arbitration Agreement below, you agree that any legal action arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Florida, and you consent to the jurisdiction of such courts.
24. Arbitration Agreement and Class Action Waiver
(a) Agreement to Arbitrate
You and RGIS agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms or your use of the Services (a “Dispute”) shall be resolved by binding arbitration, rather than in court, except as specifically provided below.
Before initiating arbitration, the party seeking to pursue a Dispute must first send written notice to the other party and engage in a good-faith effort to resolve the Dispute informally for at least 30 days.
Arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable rules for consumer or commercial disputes, as appropriate, except to the extent those rules conflict with these Terms. The arbitrator, and not any court, shall have the exclusive authority to resolve all threshold arbitrability issues, including whether this arbitration agreement is enforceable and whether a particular Dispute is subject to arbitration.
(b) Waiver of Class and Representative Actions
YOU AND RGIS AGREE THAT ARBITRATION SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR OTHER REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION AGAINST RGIS.
If any court or arbitrator determines that the class action waiver in this section is unenforceable as to a particular claim, then that claim shall proceed in court, and not in arbitration.
(c) Small Claims Court
Either party may bring an individual claim in small claims court in Florida if the claim is within that court’s jurisdiction and remains on an individual basis.
(d) Right to Opt Out
You may opt out of this arbitration agreement by sending written notice of your decision to opt out to RGIS at [insert mailing address] within 30 days of your first use of the Services after these Terms take effect. If you opt out, both you and RGIS retain the right to pursue claims in court, subject to the “Governing Law and Jurisdiction” section above.
25. No Third-Party Beneficiaries
These Terms are solely between you and RGIS. No provision in these Terms is intended to, or shall be construed to, create any rights or benefits in favor of any third party.
26. Assignment
You may not transfer, assign, or delegate your rights or obligations under these Terms without RGIS’s prior written consent. RGIS may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law.
27. Severability
If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
28. Non-Waiver
No failure or delay by RGIS in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy, and no waiver shall be effective unless in writing and signed by an authorized representative of RGIS.
29. Force Majeure
RGIS shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, interruptions of internet or communications systems, or failures of third-party infrastructure.
30. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or notices expressly incorporated by reference, constitute the entire agreement between you and RGIS regarding your use of the Services and supersede all prior or contemporaneous agreements or understandings, whether written or oral, relating to such use.
31. Notices
RGIS may provide notices to you via email, postal mail, or through postings on the website, at its discretion. You agree that such electronic or posted notices satisfy any legal requirement that communications be in writing, to the extent permitted by law.
You are responsible for keeping your contact information current so that you can receive notices.
